Frequently asked questions

Can I form a US company without living in the US?+

Yes. You do not need an SSN, ITIN, or US address to form a Delaware C-Corp or LLC, or to get an EIN. You do need a registered agent with a physical address in the state — included in our paid packages.

Do I need to file a FinCEN BOI report?+

For companies formed in the US: no. Under FinCEN's current rule (March 2025), US-formed companies are exempt from federal BOI reporting even when all owners are foreign. Only companies formed under foreign law that register to do business in the US must file. State rules can differ (New York has its own LLC disclosure law), and federal rules have changed before — our compliance calendar tracks this for you.

C-Corp or LLC?+

C-Corp if you plan to raise venture capital or issue stock options. LLC for most self-owned service, e-commerce, and SaaS businesses. Our free guide walks you through it — and non-residents cannot own S-Corps, whatever another site told you.

How long does formation take?+

Typically 1–3 business days for the Delaware filing after your details are confirmed, plus 1–3 weeks for the IRS to issue an EIN without an SSN. We show you live status at every step.
